§1 Scope

These General Terms and Conditions apply to all contracts between KMB Investment GmbH (hereinafter "21.Energy") and its commercial customers relating to the planning, supply, construction and operation of decentralized energy infrastructure.

§2 Formation of contract

Offers from 21.Energy are non-binding. A contract is only formed upon written order confirmation or the commencement of performance by 21.Energy. Individual agreements in a separate project contract take precedence over these Terms.

§3 Scope of services

The specific scope of services (including planning, supply, construction, operation management) results from the respective offer or project contract. Technical changes during further planning remain reserved, provided they are reasonable for the customer.

§4 Prices and payment terms

The prices stated in the respective offer apply, plus statutory value-added tax. Payment terms and any installment plans are set out individually in the project contract.

§5 Warranty and liability

The statutory warranty provisions apply, unless otherwise agreed in the project contract. 21.Energy is liable without limitation for intent and gross negligence, as well as under the Product Liability Act; otherwise, liability for slight negligence is limited to foreseeable, contract-typical damage.

§6 Final provisions

The laws of the Federal Republic of Germany apply. The place of jurisdiction for all disputes arising from this contractual relationship is, to the extent legally permissible, Munich. Should individual provisions of these Terms be invalid, the validity of the remaining provisions shall remain unaffected.
